TERMS OF USE.

1. Acceptance of these terms

By requesting access to, accessing or using Q-Connect, you acknowledge these Terms & Conditions and our Disclaimer. If access is offered to you and you choose to use Q-Connect, your use of the service is subject to these Terms. You must be legally capable of entering into a binding agreement under applicable law.

2. What Q-Connect is

Q-Connect is an execution-independent market-observation and research setup. It may present proprietary indicators, including QSI, QEX and Q Score, bar charts, auction structures, multi-timeframe context and other research-derived information or tools that OD may introduce, modify or withdraw from time to time.

Q-Connect does not place trades for you, operate your brokerage account, manage funds or exercise discretion over your trading decisions. Access to Q-Connect does not create an advisory, portfolio-management, fiduciary, agency or brokerage relationship between you and OD.

3. No investment advice or assurance

Q-Connect and all related material are provided for informational, educational and research purposes. Nothing displayed by the service is investment advice, a recommendation or solicitation to buy, sell or hold any security, derivative or other financial instrument, or an assurance of any trading result or return.

You remain solely responsible for interpreting the information, deciding whether to trade, selecting instruments and position sizes, placing orders and managing risk. Trading and investing involve risk, including the possible loss of capital. Past observations, examples, simulations or outcomes do not guarantee future results.

4. Registration and limited access

Q-Connect is presently operated on a limited-access basis. Registration records your interest in Q-Connect and does not by itself create an entitlement to access the service.

Registrations may be reviewed individually by OD. Access may be offered depending on factors such as the current stage of the research, operational capacity and availability of the service. Submitting a registration does not guarantee that access will be offered, nor does registration require OD to provide access within any particular period.

Where access is offered, OD may communicate the applicable access period, activation process and, where relevant, any price, taxes or other terms before activation. Access arrangements may change as Q-Connect and its research environment evolve.

5. Account and access security

Where Q-Connect access is provided, that access is personal and non-transferable. You are responsible for maintaining the confidentiality of your login credentials and for activity occurring through your account. You must not share, resell, sublicense, publish or provide your access to another person.

Please notify us promptly at support@opulentduende.com if you believe your account or credentials have been compromised.

6. Permitted use

You may use Q-Connect for your own lawful market observation, learning and decision-making. You may not copy, scrape, reverse engineer, reproduce, redistribute, commercially exploit, circumvent access controls, interfere with the service, or attempt to obtain unauthorized access to Q-Connect, its data, software, infrastructure or other users' accounts.

7. Proprietary research and intellectual property

Q-Connect, its software, interface, indicators, names, visualizations, research methods, documentation, branding and other original material are owned by or licensed to Opulent Duende LLP and are protected by applicable intellectual-property laws.

Where access is provided, you receive only a limited, revocable, non-exclusive and non-transferable right to use Q-Connect for the applicable access period and subject to these Terms. Access does not transfer ownership of any intellectual property.

8. Zerodha, market data, technology and availability

Q-Connect currently supports Zerodha only. To use Q-Connect, you must maintain your own eligible Zerodha account and your own applicable Zerodha Kite Connect API subscription. Market data used by Q-Connect is accessed through your own authorised Zerodha API access and credentials. Opulent Duende LLP does not provide, pool or resell Zerodha market data as part of Q-Connect.

You are responsible for maintaining your Zerodha account, Kite Connect API subscription, credentials, permissions and any charges imposed by Zerodha. Q-Connect's ability to display market information depends on the availability, permissions and functioning of Zerodha and its APIs. Market data can be delayed, incomplete, interrupted or inaccurate, and internet connectivity, maintenance, market conditions and other technical failures may affect availability.

Zerodha and Kite Connect are third-party services and are governed by their own terms and policies. Q-Connect is an Opulent Duende LLP service and is not represented as a Zerodha product or as being endorsed by Zerodha.

OD may maintain, update, modify, suspend or discontinue features when reasonably necessary for research, security, reliability, legal or operational reasons. We do not promise uninterrupted or error-free availability.

9. Research evolves

Q-Connect is part of OD's ongoing research and development. Indicators, calculations, visualizations, structures, terminology and interpretations may be revised, replaced or removed as the research evolves. A feature being available at one time does not guarantee that it will remain unchanged.

10. Payments and access arrangements

Registration itself does not require payment unless a payment option is expressly presented to you. If paid access is offered, the applicable price, access period, taxes and payment terms will be communicated or displayed before payment.

Where payment is made for an access period, any cancellation or refund eligibility may depend on whether access has already been activated and on applicable law. If you believe a payment was duplicated, made in error, or requires review, contact support@opulentduende.com. Nothing in these Terms limits rights that cannot lawfully be excluded.

11. Suspension, withdrawal or termination of access

OD may suspend, withdraw or terminate access where reasonably necessary because of account sharing, misuse, security concerns, unlawful activity, material breach of these Terms, expiry of an applicable access period, non-payment where payment applies, or conduct that threatens the service or other users.

OD may also limit or withdraw access where reasonably necessary because of changes to the research programme, technical requirements, operational capacity or discontinuation of Q-Connect. Where appropriate, we may communicate the change or ask you to remedy an issue first, subject to applicable law.

12. Disclaimers and limitation of liability

To the maximum extent permitted by applicable law, Q-Connect is provided on an “as available” basis without warranties that market information, indicators, calculations or service availability will always be accurate, complete, timely or suitable for a particular purpose.

To the maximum extent permitted by applicable law, OD and its partners, employees and representatives will not be liable for trading losses or decisions made using or in reliance on Q-Connect, or for indirect, incidental, special or consequential losses arising from use of or inability to use the service. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

13. Third-party services

Q-Connect may depend on or link to third-party services. Those services are governed by their own terms and policies. OD is not responsible for the independent operation, availability or content of third-party services, except to the extent required by applicable law.

14. Privacy and communications

We may process information you provide during registration, access, support and, where applicable, payment workflows as reasonably necessary to administer Q-Connect, review access registrations, communicate with you, maintain security and comply with applicable obligations.

Service-related communications may include registration verification, access invitations, security notices, operational information and, where applicable, payment or activation communications.

15. Changes to these terms

We may update these Terms as Q-Connect or applicable requirements evolve. The current version will be published on this page with its revision date. Material changes will apply prospectively, subject to applicable law.

16. Governing law

These Terms are governed by the laws of India. Any dispute will be subject to the jurisdiction of the competent courts in India, subject to any rights or forums available to you under mandatory applicable law.
